Role Title: Senior Governance Adviser
Salary: £50,000 to £75,000
Location: Manchester and remote
Start date: January 2025

This is a fantastic opportunity for an experienced governance professional to join a well-established organisation. As a Senior Secretariat Adviser, you will ensure the smooth and efficient operation of various governance forums, including Group Boards, Operational Boards, and Board Committees. You will work closely with senior leadership to ensure full compliance with statutory, regulatory, and corporate governance best practices. The roe will pay an impressive day rate and we are looking for someone to start asap in January 2025. The head office is based in Manchester and there will be some requitement for office present but in addition remote working will be available where appropriate.

Key Responsibilities:

* Lead and execute secretariat activities for up to five governance forums, ensuring full compliance with statutory requirements, corporate governance best practices, and relevant rules.
* Attend meetings as the official minute-taker and ensure that all discussions are accurately reflected in the minutes.
* Provide expert advice to Chairs and Leads, ensuring governance forums are operating in line with statutory and regulatory standards.
* Build and maintain strong relationships with the Chair/Lead of each governance forum.
* Ensure that each forum has an agenda and relevant papers ahead of meetings, and that minutes and actions post-meeting are a true reflection of discussions.
* Collaborate with Chairs/Leads to ensure actions are completed in a timely manner.
* Coordinate with fellow Senior Secretariat Assistants to ensure that tasks are completed efficiently and on time.
* Work with governance forum Chairs/Leads to identify any necessary training for Board/Committee members and create a tailored training plan, ensuring it is executed across the team.
* Support the Deputy Secretary in specific secretariat projects, ensuring objectives are met.
* Mentor junior team members, enhancing their knowledge and skills.
* Oversee signing and sealing activities as needed.
* Assist the Deputy Secretary with forward planning for Board, entity, and committee activities.

Required Capabilities:

* ICSA qualified, or possess equivalent professional qualifications or experience.
* Proven experience in a company secretary or governance role, with a strong understanding of rules and regulations.
* Ability to tailor written and oral communication to various audiences, including complex matters in a clear and accessible manner.
* Attention to detail and meticulous work ethic.
* Solid understanding of current corporate governance best practices and statutory regulations.
* Experience supporting governance and business projects, with a clear understanding of board effectiveness reviews.

Desirable:

* Understanding of co-operatives, mutual organisations, and other member-owned entities.
* Experience working in a financial services regulated business.
* Familiarity with financial regulatory environments.
